Katherine Bell is a partner in the Finance and Restructuring practice of Paul Hastings and is based in the firm’s Orange County office.
Her practice focuses on commercial and corporate finance transactions. Ms. Bell regularly represents commercial banks, investment banks, finance companies, other lenders, and borrowers in working capital facilities (cash flow and asset-based), acquisition financings, structured financings, and other leveraged finance transactions including leveraged buyouts, restructurings, and recapitalizations. Ms. Bell has significant experience negotiating intercreditor relationships, including 1st lien/2nd lien transactions, split collateral arrangements, and unitranche transactions. She has industry experience in a variety of business sectors and has considerable experience in cross-border transactions.
Ms. Bell recently co-authored Asset-Based Lending: A Practical Guide to Secured Financing (Practising Law Institute, 8th ed. 2015), which is generally considered to be the definitive treatise on asset-based lending.
Siobhan Burke is a partner in the Firm’s Los Angeles office. She specializes in corporate, partnership and limited liability company finance matters, and she represents fund sponsors and institutional investors in all aspects of the structuring, documentation, offering, negotiation and operation of private investment funds, including private debt, mezzanine debt, distressed debt, private equity, buy-out, venture capital, real estate, and funds of funds. She represents institutional fund sponsors in connection with mergers and acquisitions involving private funds and fund management teams and other corporate transactions in the investment management industry. She also represents domestic and foreign organizations, including public and private retirement funds, sovereign wealth entities, insurance companies and other institutional investors, in private securities offerings.
Mr. Chin is a Managing Director at Wells Fargo Capital Finance where he is focused on originating and structuring senior debt solutions for private equity and corporate clients. Prior to joining Wells Fargo Capital Finance Mr. Chin was a part of the Leveraged Finance and Capital Markets teams for the Royal Bank of Scotland and Bank of America Merrill Lynch. Mr. Chin earned his Master’s in Business Administration from Columbia University and his Bachelor’s Degree in Economics from UC Davis.
Robert Enayati is the General Counsel of Direct Lending Investments, LLC, a Los Angeles-based private credit firm whose flagship fund was launched in 2012 and currently has over $1 billion in assets under management. He oversees the firm’s legal affairs and portfolio management, and works closely with the investment team to structure, execute and monitor credit arrangements with the firm’s business partners. Mr. Enayati previously practiced at Kirkland & Ellis LLP and Gibson Dunn & Crutcher LLP, where he focused on complex debt restructuring and workouts as well as execution and syndication of a wide array of domestic and cross-border credit transactions, including asset-based facilities, revolvers and term loans, mortgage financings, mezzanine financings, preferred equity, and a variety of other financing structures. Mr. Enayati received a B.A. in Rhetoric from UC Berkeley and graduated cum laude from Georgetown Law.
Jake is a senior vice president in the Asset Management Group at Antares Capital. He is responsible for developing relationships and implementing programs with institutional investors. Jake joined GE Antares in 2011 where he focused on structuring and underwriting senior and unitranche loan financings.
Prior to GE Antares, Jake was a vice president at Citigroup Global Markets where he originated, structured and underwrote leveraged loans and high yield bonds. He began his career as an attorney at Weil Gotshal & Manges LLP representing lenders and private equity sponsors in leveraged financings.
Jake earned his bachelor’s degree in economics from Lake Forest College and a JD from Rutgers Law.
Emily Lehrer is Director at ICG Advisors, which is an independent, alternatives focused RIA with approximately $4 billion under management. At ICG, Emily focuses primarily on operational due diligence and investment structuring. She has a special interest in working with emerging managers on their policies and procedures. Prior to ICG, Ms. Lehrer led the operational due diligence effort for Guggenheim Partners’ wealth management, fund of funds, and fund placement businesses. She holds a BA in History from Yale University and a Master’s degree in Public Policy from the University of Chicago.
Natalie Marjancik is a Managing Director at Lincoln International, a global, mid-market focused investment bank, and has been a member of the firm’s Debt Advisory Group for over eight years. As part of this practice, Natalie advises corporate and private equity clients on the structuring and arranging of debt financing for acquisitions, dividend recapitalizations, refinancings, restructurings and other strategic transactions. Prior to joining Lincoln, Natalie practiced corporate law for approximately eight years, regularly advising on domestic and cross-border capital raising transactions, mergers, acquisitions, divestitures and joint ventures. Additionally, Natalie received an MBA from the University of Chicago Booth School of Business and a JD from Boston University School of Law.
Mr. Parks joined Guggenheim in 2013, as a Managing Director focusing on originating, structuring, and evaluating private and institutional debt for the firm. Prior to joining he worked with Wells Fargo Capital Finance where he was a Managing Director in the Originations and Structuring group for six years. Before beginning at Wells Fargo, Mr. Parks was a high yield credit analyst at ORIX USA for roughly 5 years. Mr. Parks earned his Master’s in Business Administration and Masters of Science from Baylor University and his Bachelor’s Degree in History from Southwestern University.
Kunal Soni is a Managing Director of Global Market Strategies and a member of the Carlyle Private Credit Origination team. He is based in Los Angeles.
Prior to joining Carlyle, Mr. Soni was a Managing Director - Head of Western Region Direct Lending for Medley Management, where he was responsible for originating, structuring and executing credit investments across several industries. Prior to that role, he was a Managing Director at THL Credit, the credit affiliate of THL Partners, leading the Western Region deal team. Prior to THL Credit, Mr. Soni worked in a variety of roles in the asset management industry, as well as the Investment Banking Division of J.P. Morgan and Audit and Transaction Services practice at KPMG.
Mr. Soni earned his B.A. from Emory University.
Jennifer St. John Yount is the chair of the Paul Hastings Finance and Restructuring practice. She practiced in Los Angeles for 15 years before moving to New York. Her practice primarily consists of representing direct lenders, finance companies, alternative and specialty lenders, and banks in acquisition financings, working capital facilities, distressed credits, and restructurings. Ms. Yount has negotiated interlender arrangements in numerous uni-tranche, multi-tranche, and multi-lien financings. She has industry experience in a variety of business sectors and has extensive experience with cross-border transactions.
